Caterpillar Inc. (CAT) shares fell 9.3% on 29 October 2026, the session after it filed its results with the SEC. Below are the closes, how unusual the move was, and what the company filed.

The move

Caterpillar closed at $647.39 on 29 October 2026, down 9.3% from $713.38 on 28 October, its largest one-day fall since at least 1 November 2024, the start of the daily closes we hold. About 8.2 million shares traded on 29 October, 3 times the average of the 20 sessions before. In the 20 sessions to 28 October its daily changes had a standard deviation of 2.4% (20-day realized volatility of 38.5% a year), so the move on 29 October was about 3.8 times a normal day.

What the company filed

Filed with the SEC from 25 October to 29 October, as listed on EDGAR:

  • 29 October: 8-K (Item 2.02, results of operations; Item 7.01, a Regulation FD disclosure; Item 9.01, financial statements and exhibits).

The base rate

In the daily closes we hold for the 50 largest US companies, there were 93 earlier one-day falls of 7% or more that were also at least 3 times a normal day, at 44 companies, the latest on 8 September 2026. Five sessions later the median stock was up 0.2% from its close on the day of the move; 20 sessions later it was up 6.5%, and 72 of the 93 closed above that day’s close. Caterpillar itself did this once before in that period; 20 sessions after, it was up 5.9% (3 April 2025). This counts what happened before, across different companies and markets; it is not a forecast.

What this note does not say

The filings do not give a reason for the share price move, and neither do we: this note puts the closes and the filings side by side. Every quarter Caterpillar has filed, each linked to its filing, is on the CAT page at /s/cat.
